3. Deposit and Milestone Payments
Initial deposits and milestone payments are non-refundable once the corresponding phase of work has commenced. Each milestone deliverable must be reviewed and approved by the client within 7 business days of delivery. Failure to respond within this period constitutes acceptance of the deliverable.

4. Refund Request Process

• A detailed description of the reason for the refund request.

All refund requests will be reviewed within 10 business days. Approved refunds will be processed within 14 business days of approval using the original payment method.

• The service has been fully delivered and accepted by the client.
• The refund request is made after the 14-day cooling-off period following initial payment (for services not yet commenced).
• The client has breached the terms of the service agreement.

6. Dispute Resolution
In the event of a disagreement regarding a refund, both parties agree to attempt resolution through good-faith negotiation before pursuing any legal remedies. Any disputes arising from this policy shall be subject to the jurisdiction of the courts of Aarhus, Denmark.

3. Client Obligations
The client agrees to:

• Provide accurate, complete, and timely information necessary for the execution of the project.
• Review and approve deliverables within the timeframes specified in the project agreement.
• Make payments in accordance with the agreed payment schedule.
• Ensure that all content provided to BrightCanvasWorks does not infringe upon the intellectual property rights of any third party.

4. Payment Terms
Payment terms are defined in each individual project agreement. Unless otherwise specified:

• An initial deposit of 40% is required before project work commences.
• Remaining payments are due according to the milestone schedule defined in the project agreement.
• Invoices are payable within 14 days of issuance.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.

5. Intellectual Property
Upon receipt of full payment, the client receives full ownership and intellectual property rights to all custom deliverables produced specifically for the project, including but not limited to custom code, designs, and content created by BrightCanvasWorks. BrightCanvasWorks retains the right to display completed projects in its portfolio unless otherwise agreed in writing.

6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of 24 months.

7. Limitation of Liability
To the maximum extent permitted by applicable law, BrightCanvasWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of its services. The total liability of BrightCanvasWorks under any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

8. Warranty
BrightCanvasWorks provides a 30-day warranty on all delivered projects following final acceptance. During this period, any defects or issues directly related to the delivered work will be corrected at no additional cost. This warranty does not cover issues arising from third-party modifications, hosting environment changes, or client-side alterations to the delivered code.

9. Termination
Either party may terminate the service agreement with 14 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Any advance payments for work not yet commenced will be refunded in accordance with our Refund Policy.

10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Denmark. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Aarhus, Denmark.

11. Changes to These Terms
BrightCanvasWorks reserves the right to modify these Terms of Service at any time. Material changes will be communicated through the website or directly to clients with active engagements. Continued use of our services following any changes constitutes acceptance of the updated terms.
